These Terms of Service ("Terms") are a legal agreement between DKY Technologies Ltd ("Cheku", "we", "us", "our"), a company registered in England and Wales (registered address: Flat 12, 134 Hatfield Road, St Albans, AL1 4HY, United Kingdom), and you ("Customer", "you", "your") — the individual or legal entity accessing or using the Cheku platform.
By creating an account or using Cheku in any way, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, do not use Cheku.
1. Definitions
"Account" means the account you create to access and use Cheku.
"Customer Data" means all data, files, documents, and information you or your team upload, enter, or store within Cheku, including data relating to your clients, contacts, engagements, and documents.
"Platform" means the Cheku web application, APIs, and all related services provided by DKY Technologies Ltd.
"Subscription" means a paid plan (Basic or Pro) with recurring billing, when such plans become available.
"Team Member" means any individual authorised by you to access your Account.
"AI Features" means functionality within Cheku that uses artificial intelligence models to process, analyse, or generate content.
2. The Service
Cheku is a cloud-based practice management platform designed for audit and accounting firms. The Platform enables you to manage clients, contacts, staff, engagements, documents, timesheets, engagement billing codes, and related workflows.
2.1 Plans
Cheku is currently available as a free public beta. During the beta period, only the Free plan is available:
- Free — No cost. Includes practice management features with usage limits (20 clients, 5 GB storage per team member, limited AI credits). No credit card required.
Paid plans (Basic and Pro) are planned for the future. When introduced, their features and pricing will be published at cheku.ai/pricing and you will be notified. You will never be charged without first selecting a paid plan and providing payment information.
All plans include unlimited team members.
2.2 Free Plan
The Free plan is provided at no cost and may be used indefinitely, subject to these Terms. We reserve the right to modify the features, limits, or availability of the Free plan at any time with 30 days' notice. If Free plan changes materially reduce functionality, you may export your data and close your Account.
2.3 Changes to Plans and Pricing
We may change the features or pricing of any plan. When paid plans are introduced, we will give you at least 30 days' written notice before any subsequent price increase takes effect. Price changes will apply at your next billing cycle after the notice period. If you do not agree to a price change, you may cancel your Subscription or downgrade to the Free plan before the change takes effect.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a legally binding contract. You must provide accurate, complete, and current registration information.
3.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. You must notify us immediately at support@cheku.ai if you become aware of any unauthorised access.
3.3 Team Members
You control who has access to your Account. Each Team Member must be a named individual — shared or generic logins are not permitted. You are responsible for your Team Members' compliance with these Terms.
4. Free Trial
Paid plans are not yet available. When introduced, paid plans may include a free trial period. During any trial, you would have access to the plan's features without charge. No payment details would be required to start a trial.
If you do not subscribe before a trial ends, your Account will revert to the Free plan. No data will be lost during this transition, though features exclusive to the paid plan will become unavailable.
5. Billing and Payment
Paid plans are not yet available. The Free plan does not require any payment information. When paid plans are introduced, the following terms will apply:
5.1 Payment Processing
All payments will be processed by Stripe. By subscribing to a paid plan, you agree to provide valid payment information and authorise recurring charges. We do not store your credit card details — these are held securely by Stripe in accordance with PCI DSS standards.
5.2 Billing Cycle
Subscriptions will be billed monthly in advance. Your billing cycle will begin on the date you subscribe to a paid plan (after any free trial period).
5.3 Failed Payments
If a payment fails, we will notify you and attempt to process the payment again. If payment remains outstanding for 14 days, we may suspend access to paid features until the balance is resolved. Your data will not be deleted during a payment suspension.
5.4 Taxes
All prices will be exclusive of applicable taxes. You are responsible for any VAT, GST, or other taxes applicable in your jurisdiction.
6. Cancellation
Since only the Free plan is currently available, no cancellation of paid billing is necessary. When paid plans are introduced, the following terms will apply:
6.1 How to Cancel
You may cancel your Subscription at any time through your Account settings or by contacting support@cheku.ai. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then.
6.2 Downgrade to Free
Instead of cancelling entirely, you may downgrade to the Free plan at any time. If your usage exceeds Free plan limits at the time of downgrade, you will be prompted to reduce usage (e.g., archive clients) before the downgrade completes. No data will be deleted automatically.
6.3 Account Deletion
You may request full deletion of your Account and all associated data by contacting support@cheku.ai. Upon receiving a deletion request, we will provide a 30-day window to export your data. After this window, all Customer Data will be permanently deleted within 90 days, except where retention is required by law.
7. Customer Data
7.1 Ownership
You own your Customer Data. We do not claim any ownership rights over your data. We will not access, use, or share your Customer Data except as necessary to provide the Platform, comply with law, or as described in our Privacy Policy and Data Processing Addendum.
7.2 Data Processing
Where you use Cheku to process personal data of your clients, contacts, or other individuals, you are the data controller and we are the data processor. Our Data Processing Addendum governs this relationship and forms part of these Terms.
7.3 Data Export
You may export your Customer Data at any time through the Platform's export functionality or by requesting an export from support@cheku.ai.
7.4 Data Portability
We will not hold your data hostage. If you leave Cheku, we will provide a reasonable export of your data in a standard format at no additional cost.
8. AI Features
8.1 How AI Works in Cheku
Cheku includes AI features that use large language models to assist with tasks such as analysis, drafting, and workflow automation. These models are hosted and processed through Microsoft Azure's enterprise AI services.
8.2 Your Data and AI
- Your Customer Data sent to AI features is processed solely to provide those features to you.
- Your data is not used to train, improve, or fine-tune any AI models.
- AI processing occurs within Microsoft Azure's infrastructure under their enterprise data processing agreements.
- AI outputs are provided as assistance — you are responsible for reviewing and verifying any AI-generated content before relying on it.
8.3 AI Limitations
AI features are provided "as is". AI outputs may contain errors, omissions, or inaccuracies. Cheku does not warrant the accuracy, completeness, or suitability of any AI-generated content. You must not rely on AI outputs as a substitute for professional judgement.
9. Acceptable Use
You agree not to:
- Use Cheku for any unlawful purpose or in violation of any applicable law or regulation.
- Upload or transmit malicious code, viruses, or harmful data.
- Attempt to gain unauthorised access to any part of the Platform, other accounts, or related systems.
- Use the Platform to store or process data that you do not have the right to process.
- Reverse engineer, decompile, or disassemble any part of the Platform.
- Resell, sublicense, or redistribute access to the Platform without our written consent.
- Use automated tools (bots, scrapers) to access the Platform except through our published APIs.
- Circumvent any usage limits, security measures, or access controls.
We may suspend or terminate your Account if we reasonably believe you are in breach of this section, with notice where practicable.
10. Intellectual Property
10.1 Our IP
The Platform, including all software, design, text, graphics, logos, and trademarks, is owned by DKY Technologies Ltd and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Platform as described here.
10.2 Licence to Use
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during the term of your Account.
10.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Platform, you grant us a royalty-free, worldwide, perpetual licence to use and incorporate that feedback without obligation to you.
11. Availability and Support
11.1 Uptime
We aim to keep the Platform available and performant, but we do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.
11.2 Support
Support is available via support@cheku.ai. Response times may vary based on your plan and the nature of the request.
12. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will meet your specific requirements, operate without interruption, or be free from errors or defects.
13. Limitation of Liability
13.1 Exclusion of Indirect Damages
To the maximum extent permitted by law, DKY Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Platform.
13.2 Liability Cap
Our total aggregate liability arising from or related to these Terms shall not exceed:
- For paid plan Customers: the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
- For Free plan Customers: one hundred pounds sterling (£100).
13.3 Exceptions
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law, including consumer guarantees under the Australian Consumer Law.
14. Indemnification
You agree to indemnify and hold harmless DKY Technologies Ltd, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Platform; (c) your violation of any law or third-party rights; or (d) Customer Data you process through the Platform.
15. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are based in Australia, nothing in these Terms excludes, restricts, or modifies any consumer rights or guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your Account before the changes take effect.
17. General
Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Data Processing Addendum, and Refund & Cancellation Policy, constitute the entire agreement between you and DKY Technologies Ltd.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to an affiliate or successor in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to honour these Terms.
Force Majeure. Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, war, terrorism, pandemics, or failures of third-party infrastructure.
